CITICORP AND HANOVER REPORT LOWER PROFITS

LEAD: Citicorp and the Manufacturers Hanover Trust Company reported lower first-quarter earnings yesterday, citing their placement of billions of dollars in Latin American loans on a cash basis. But the Bankers Trust Company, which also placed some Latin loans on a cash basis, reported record earnings and credited continued strength in its investment-banking division.

HIGH COURT BACKS STATE ON CURBING HOSTILE TAKEOVER

LEAD: In an important victory for companies seeking protection from takeovers, the Supreme Court for the first time today upheld a state law that restricts hostile offers for companies incorporated in that state. M Reversing a Federal appellate decision, the Court ruled that the 1986 Indiana law, which resembles laws in Ohio, Pennsylvania and several other states, violated neither the Federal Williams Act of 1968, which regulates tender offers, nor the Commerce Clause of the Constitution, which bans state obstruction of interstate commerce.
